Step 1: Name Reservation

1–2 days

Choose a unique company name and reserve it with the Uganda Registration Services Bureau (URSB). We verify availability against the URSB database and submit the reservation form.

Statutory Requirements & Ongoing Compliance

A private limited company in Uganda must comply with annual filing, tax, and employment obligations.

Annual Return Filing (URSB)

Every private limited company must file an Annual Return with URSB by 30 June each year. This includes updated director and shareholder information, share register, and statutory books.

Can a foreign individual register a company in Uganda?+

Yes. A company can be registered with a foreign individual as shareholder and/or director. However, if a foreign national is a director, they may need to secure a work permit (Class G or Special Pass) from DCIC (Directorate of Citizenship and Immigration Control). We manage the work permit process end-to-end. Alternatively, you can appoint a local Ugandan director to lead operations.

What is the minimum capital required to register a company in Uganda?+

There is no statutory minimum paid-up capital requirement under the Companies Act, Cap 110 (as amended). However, founders typically allocate nominal share capital (e.g., UGX 100,000–500,000 total). The company must maintain a share register detailing all issued shares.

What documents do I need to provide to register a company?+

You need: (1) Proposed company name; (2) Directors and shareholders details (name, address, passport/national ID); (3) Registered office address in Uganda; (4) Details of share capital and allocation; (5) A copy of shareholder and director ID/passport. How long is the Certificate of Incorporation valid?+

Indefinitely, unless the company is struck off or dissolved. However, the company must file annual returns with URSB by 30 June each year to remain active. Failure to file triggers de-registration.

Can I change the company name after registration?+

Yes, but it requires approval from URSB and a formal Special Resolution from shareholders. The process typically takes 2–3 weeks and costs an additional UGX 100,000–200,000. It is advisable to get the name right at registration.

What happens if I do not file annual returns on time?+

Late filing incurs penalties of UGX 50,000–500,000 depending on how late. If annual returns are not filed for 3+ years, URSB may strike the company off the register, removing its legal status. Restoration requires court action and additional costs.

Do I need an audit if my company is small?+

Very small enterprises (turnover under UGX 50M annually and employing fewer than 10 people) may be exempt from audit under the Companies Act. However, you must still file tax returns and financial statements with URA. We advise on eligibility and recommend audit for transparency and credibility with banks and investors.

Can I operate a company from outside Uganda?+

Yes. A registered Ugandan company can be operated remotely via a manager or staff in Uganda.
